THE SERVICES FACILITATE COMMUNICATION AND COORDINATION WITH LICENSED HEALTHCARE PROFESSIONALS. THEY DO NOT REPLACE YOUR RELATIONSHIP WITH YOUR PRIMARY PHYSICIAN OR OTHER IN-PERSON PROVIDERS.

THE SERVICES ARE NOT APPROPRIATE FOR EMERGENCIES OR CRISIS SITUATIONS. IF YOU BELIEVE YOU ARE EXPERIENCING A MEDICAL EMERGENCY OR MENTAL HEALTH CRISIS, CALL 911 OR GO TO THE NEAREST EMERGENCY ROOM IMMEDIATELY. DO NOT USE THE SERVICES FOR EMERGENCY CARE.

THESE TERMS CONTAIN IMPORTANT PROVISIONS, INCLUDING LIMITATIONS OF LIABILITY, DISCLAIMERS OF WARRANTIES, AND AN AGREEMENT TO RESOLVE DISPUTES THROUGH BINDING ARBITRATION ON AN INDIVIDUAL BASIS (NO JURY TRIAL OR CLASS ACTION), TO THE EXTENT PERMITTED BY LAW.

1. Services Overview, Availability, and Eligibility

1.1 Overview of the Services

Nexus Life Services, LLC (“Nexus Life Services,” “we,” “us,” or “our”) owns and operates the website located at [www.nexuslifeservices.com] and may offer additional platforms such as mobile applications (collectively, the “Platform”). Through the Platform, we may provide:

– General information on health, wellness, and our telehealth offerings;
– Access to licensed healthcare professionals for telehealth consultations through one or more medical groups or professional entities;
– Coordination with prescribing clinicians regarding medications or treatment plans;
– Coordination with pharmacies for prescription fulfillment; and
– Administrative support services, including scheduling, payment processing, and communication tools.

In these Terms of Use, the terms “you” and “your” refer to the individual who accesses or uses the Services.

1.2 Availability

Our Services may only be available to individuals located in certain U.S. states or territories. You may be informed of any geographic limitations when you attempt to access certain features. Nexus Life Services is based in the United States and makes no representation that the Services are appropriate or available outside the United States. If you access the Services from outside the United States, you do so at your own risk and are responsible for compliance with local laws.

1.3 Eligibility

To use the Services, you must:

– Be at least 18 years of age (or the age of majority in your jurisdiction);
– Reside in, or be physically located in, a U.S. state where the relevant Services are offered at the time of use; and
– Have the legal capacity to enter into a binding contract.

By accessing or using the Services, you represent and warrant that you meet these eligibility requirements. Meeting these requirements does not guarantee that you will receive telehealth services; providers may decline or discontinue services based on clinical judgment or other legitimate reasons.

2. Telehealth Services and Pharmacy Coordination

2.1 Relationship with Healthcare Providers

Nexus Life Services may work with independent healthcare professionals or medical groups (collectively, the “Providers”) who deliver telehealth services through or in connection with the Platform. These Providers are solely responsible for the practice of medicine and for all clinical decisions, diagnoses, and treatments they provide.

Nexus Life Services does not practice medicine, does not control clinical decision-making, and does not create a doctor-patient relationship by itself. Any doctor-patient or provider-patient relationship is between you and the Provider.

2.2 Nature of Telehealth

Telehealth involves the use of electronic communications and information technologies (such as video, audio, and secure messaging) between you and a Provider who are not in the same physical location. Telehealth may be used for, among other things:

– Evaluation, consultation, diagnosis, and treatment;
– Follow-up visits and patient education;
– Electronic transmission of medical records, images, and other personal health data.

Telehealth has potential benefits but also limitations and risks, including potential technology failures and incomplete transmission of information.

You may be asked to review and sign a separate Consent to Telehealth. To the extent presented, that document is incorporated by reference into these Terms of Use.

2.3 Pharmacy Coordination

If a Provider issues a prescription, Nexus Life Services may coordinate with a pharmacy or pharmacy network (the “Pharmacies”) to assist with fulfillment. By using the Services, you authorize Nexus Life Services and Providers to share your personal and health information with Pharmacies as reasonably necessary to dispense medications and manage your treatment.

The Pharmacies are solely responsible for the professional services they provide. Nexus Life Services does not control or supervise pharmacy practice.

2.4 Not a Substitute for In-Person Care and Emergencies

Telehealth may not be appropriate for every condition. Providers may advise you to seek in-person care, emergency treatment, or follow-up from your primary physician. The Services must not be used for emergencies or life-threatening conditions.

3. Registration and Account Creation

Some parts of the Services may be accessible without an account. Other features (such as scheduling, messaging, or telehealth visits) may require you to register and create an account.

By creating an account, you agree to:

– Provide accurate, current, and complete information;
– Keep your login credentials confidential;
– Promptly update your information when it changes; and
– Accept responsibility for all activities that occur under your account.

You agree to notify Nexus Life Services immediately of any unauthorized access or suspected breach of security. We may suspend or terminate your account if we believe it has been compromised or that you have violated these Terms or applicable law.

4. Privacy Policy and Protected Health Information

4.1 Privacy Policy

Your use of the Services is also governed by our Privacy Policy, which explains how we collect, use, store, and share information, including sensitive health data. The Privacy Policy is incorporated by reference into these Terms of Use.

4.2 Health Information and Sharing

Because Nexus Life Services operates as a telehealth provider, we may collect personal and health information about you. Consistent with our Privacy Policy and applicable law:

– Your health data will be used to coordinate and provide telehealth services;
– Your health data may be shared with your prescribing Provider and the pharmacy involved in your care, where necessary to deliver treatment;
– Your data may be shared with other third parties only with your express consent on a case-by-case basis, except as otherwise required or permitted by law (for example, to comply with legal obligations, respond to law enforcement requests, prevent fraud, or protect rights and safety).

Our handling of health information may be subject to federal and state privacy laws. The status of Nexus Life Services and certain Providers or Pharmacies under HIPAA or other privacy laws may vary; additional terms and notices (such as a Notice of Privacy Practices) may apply to your interactions with Providers or Pharmacies.

5. Ownership and License to Use the Services

As between you and Nexus Life Services:

– The Services, Platform, and all associated content, features, and functionality (including text, graphics, logos, images, software, and design) are owned by Nexus Life Services or our licensors and are protected by intellectual property laws.
– We grant you a limited, revocable, non-exclusive, non-transferable license to access and use the Services for your personal, non-commercial use, subject to these Terms and applicable law.

You may not copy, modify, distribute, publicly display, publicly perform, create derivative works from, or otherwise exploit the Services or any content, except as expressly allowed by these Terms or with our prior written permission.

6. User Content and License Granted to Nexus Life Services

“User Content” means any information or content that you submit, upload, or transmit through the Services (other than health information governed by our Privacy Policy or applicable privacy laws), including questions, comments, feedback, suggestions, and other materials.

Except as otherwise described in our Privacy Policy or required by law:

– User Content is considered non-confidential and non-proprietary; and
– You grant Nexus Life Services a worldwide, royalty-free, transferable, sublicensable license to use, reproduce, modify, distribute, display, and create derivative works from your User Content for purposes including: providing the Services, improving or developing new services, analytics, and marketing (where permitted by law).

You are responsible for any User Content you provide and represent that you have all rights necessary to grant the above license.

7. Copyright and Intellectual Property Notices

Nexus Life Services reserves the right to remove or disable access to content on the Services that is alleged to infringe another’s intellectual property rights. If you believe that material on the Services infringes your copyright or other intellectual property rights, you may notify us using the contact information in Section 19 with sufficient detail for us to evaluate and respond.

8. Acceptable Use and Restrictions on Use

You agree not to:

– Use the Services for any unlawful or fraudulent purpose;
– Violate any applicable law, regulation, or professional standard;
– Attempt to gain unauthorized access to any portion of the Services, user accounts, or systems;
– Interfere with or disrupt the operation or security of the Services (for example, by introducing malware or automated scraping tools);
– Impersonate another person or misrepresent your identity or affiliation;
– Use the Services to harass, abuse, or harm others; or
– Reverse engineer, decompile, or attempt to extract the source code of any software used in the Services, except where permitted by law.

We may investigate violations and cooperate with law enforcement where appropriate.

9. Payments, Fees, and Subscription Services

If you pay fees through the Services (for telehealth visits, memberships, or other offerings):

– You agree to pay all charges at the prices and on the terms disclosed to you at the time of purchase or scheduling;
– You authorize Nexus Life Services and our payment processors to charge your selected payment method;
– Certain products or services may not be covered by insurance or public programs; you are responsible for verifying coverage and for any amounts not paid by a third party.

We may use third-party payment processors to handle transactions; their terms and privacy policies may also apply.

10. Disclaimer of Warranties

TO THE FULLEST EXTENT PERMITTED BY LAW, THE SERVICES AND ALL CONTENT, INFORMATION, AND FEATURES MADE AVAILABLE THROUGH THEM ARE PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT ANY WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED.

NEXUS LIFE SERVICES DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, SECURE, ERROR-FREE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.

Any health or wellness information provided through the Services is for general educational purposes and does not replace professional medical advice from a Provider who is familiar with your individual circumstances.

11. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW:

– NEXUS LIFE SERVICES AND ITS OWNERS, DIRECTORS, OFFICERS, EMPLOYEES, CONTRACTORS, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS, ARISING OUT OF OR RELATED TO YOUR USE OF, OR INABILITY TO USE, THE SERVICES, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
– OUR TOTAL AGGREGATE LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THE SERVICES OR THESE TERMS SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID TO NEXUS LIFE SERVICES FOR SERVICES DURING THE SIX (6) MONTHS PRIOR TO THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS (US $100).

Some jurisdictions do not allow certain limitations, so part of this section may not apply to you.

12. Indemnification

You agree to indemnify, defend, and hold harmless Nexus Life Services and its owners, directors, officers, employees, contractors, and agents from and against any claims, losses, liabilities, damages, and expenses (including reasonable attorneys’ fees) arising out of or related to:

– Your use of the Services;
– Your violation of these Terms or applicable law; or
– Your violation of any rights of a third party.

13. Third-Party Links, Features, and Services

The Services may contain links to or integrate with third-party websites, applications, or services (including pharmacies, labs, payment processors, or content providers). Nexus Life Services does not control and is not responsible for the content, policies, or practices of such third parties.

Your use of third-party services is at your own risk and may be subject to additional terms and privacy policies.

14. Changes to These Terms and to the Services

We may update or modify these Terms of Use at any time. When we do, we will revise the “Date of Last Revision” at the top of this page. Changes will be effective when posted unless otherwise stated.

Your continued use of the Services after changes are posted constitutes your acceptance of the updated Terms.

We may also modify, suspend, or discontinue all or part of the Services at any time, with or without notice.

15. Termination

You may stop using the Services at any time. We may suspend or terminate your access to the Services, in whole or in part, at our discretion, including if we believe you have violated these Terms, misused the Services, or engaged in fraudulent or unlawful activity.

Sections of these Terms that by their nature should survive termination (including, but not limited to, ownership provisions, disclaimers, limitations of liability, and dispute resolution provisions) will continue in effect.

16. Binding Arbitration and Class Action Waiver

Please read this section carefully. It affects your legal rights.

To the fullest extent permitted by law, you and Nexus Life Services agree that any dispute, claim, or controversy arising out of or relating to the Services or these Terms (collectively, “Disputes”) will be resolved through final and binding individual arbitration, rather than in court, except that either party may bring an individual action in small claims court if eligible.

You and Nexus Life Services waive any right to a jury trial or to participate in a class, collective, or representative action with respect to any Dispute. Arbitration will be conducted on an individual basis only; class arbitrations and class actions are not permitted.

The arbitration will be administered by a reputable arbitration provider (such as the American Arbitration Association) under its applicable rules, as modified by this section. The place of arbitration will be [County], [State], unless otherwise required by law or agreed by the parties.

If this arbitration agreement is found unenforceable as to a particular claim or request for relief, then that claim or request for relief will be severed and may be brought in court, and the remainder of this arbitration agreement will remain in effect.

17. Communications by Text Message and Email

By using the Services, you may consent to receive communications from Nexus Life Services and/or Providers via email, text message (SMS/MMS), phone calls, or through the Platform (for example, appointment reminders or treatment-related messages).

– You are responsible for any messaging or data charges imposed by your carrier.
– You can typically opt out of non-essential marketing messages by following the unsubscribe instructions in those communications.
– Certain transactional or service-related communications (such as appointment confirmations, security alerts, or messages required by law) may still be sent even if you opt out of marketing messages.

Because electronic communications carry security and privacy risks, you should use them thoughtfully and update us if your contact information changes.

18. Miscellaneous Terms

– Governing Law. These Terms and your use of the Services are governed by the laws of the State of [State], without regard to its conflict of laws rules.
– Venue. Subject to the arbitration provisions above, any permitted court action shall be brought exclusively in the state or federal courts located in [County], [State], and you consent to their jurisdiction.

– Assignment. You may not assign or transfer your rights or obligations under these Terms without our prior written consent. We may assign or transfer our rights and obligations without restriction.
